Bizcare Terms and Conditions

This is the Contract between United Overseas Insurance Ltd (hereinafter known as UOI) and the Insured named in the Schedule of the Policy.

In consideration of the Insured having paid or agreed to pay to UOI the Premium, UOI will provide the cover shown in the Contract during the Period of Insurance up to the Sums Insured or Limits of Indemnity stated in the Schedule, subject to the terms, provisions, exclusions and conditions contained herein or endorsed hereon.

Section 1 - Fire & Extraneous Perils

UOI will indemnify the Insured in respect of loss of or damage to the Insured Property in the Premises destroyed or damaged by Fire and/or Lightning and Extraneous Perils as per attached Extraneous Perils Endorsements whilst occurring during the Period of Insurance.

Exceptions

  1. This Section does not cover
    1. loss or damage to property occasioned by natural heating or by its undergoing any heating or drying
    2. loss or damage occasioned by or through or in consequence of the burning of property by order of any public authority.
  2. Unless otherwise expressly stated in the Section, this insurance does not cover
    1. Bullion or unset precious
    2. Any curiosity or work of art for an amount exceeding S$1,000.00
    3. Manuscripts, plans, drawings or designs, patterns, models or moulds
    4. Securities, obligations or documents of any kind, stamps, coined or paper money, cheques, books of account or other business books or computer systems
    5. Coal, against loss or damage occasioned by its own spontaneous
    6. Explosives.
    7. Any loss or damage occasioned by or through or in consequence of explosion; but loss or damage by explosion of gas used for illuminating or domestic purposes in a building in which gas is not generated and which does not form part of any gas works, will be deemed to be loss by fire within the meaning of this Section.
  3. Under any of the following circumstances the insurance ceases to attach about the property affected unless the Insured, before the occurrence of any loss or damage, obtains the sanction of the Company signified by endorsement upon the Policy, by or on behalf of the Company
    1. If the building insured or containing the insured property becomes unoccupied and so remain for a Period of more than 30
    2. If the interest in the insured property pass from the Insured otherwise than by will or operation of law.
  4. This insurance does not cover any loss or damage to property which, at the time of the happening of such loss or damage, is insured by or would, but for the existence of this Section, be insured by any Marine Policy or Policies except in respect of any excess beyond the amount which would have been payable under the Marine Policy or Policies had this insurance not been

Definitions

"Insured Property" means any tangible property both real and personal of every kind and description belonging to the Insured or for which the Insured is responsible or has assumed responsibility to insure.

Limit of indemnity

The liability of UOI is limited to a sum not exceeding the Sum Insured set against each item and in the whole the Total Sum Insured.

Basis of settlement

Claims for insured loss or damage will at UOI’s option be settled based on the cost of repairing or replacing the lost or damaged Insured Property with similar property having similar function or output without any deduction for wear, tear or depreciation except stock in trade.

Any repair or replacement must be commenced and carried out within a reasonable time and in any case, must be completed within 12 months after the loss or damage, or within such further time as UOI may in writing allow; otherwise no payment beyond the amount which would have been payable under this Section shall be made.

Extraneous Perils Endorsements

Aircraft damage

It is hereby agreed and declared that the insurance under Section 1 shall, subject to the Special Conditions hereinafter contained, extend to include loss or damage to the insured property (by fire or otherwise) directly caused by aircraft and other aerial devices and/or articles dropped therefrom.

Provided always that all the conditions of the Policy shall apply as if they had been incorporated herein and for the purposes hereof any loss or damage as aforesaid shall be deemed to be loss or damage by fire.

Special Conditions

  1. The liability of UOI shall in no case under this Endorsement and Section 1 exceed the sum insured by each item of Section 1.
  2. This insurance does not cover any loss or damage caused by any aircraft for which permission to land has been extended by theInsured.

Bursting or Overflowing of water tanks, etc.

The insurance under Section 1 is extended to include loss of or damage to the insured property directly caused by bursting or overflowing of water tanks, apparatus or pipes from within the building insured or containing the insured property but excluding:

  1. damage thereto
  2. loss or damage whilst the building is untenanted
  3. loss or damage by water discharged or leaking from any automatic sprinkler installation in the within described buildings
  4. the first S$200.00 of each and every

Provided that all the conditions of the Policy shall apply as if they had been incorporated herein and for the purposes hereof any loss or damage as aforesaid shall be deemed to be loss or damage by fire.

Earthquake, Windstorm and Flood: A/B/C

A. Fire damage

In consideration of the payment by the Insured to UOI of an additional premium it is hereby agreed that notwithstanding anything stated to the contrary in General Exclusions 1(a), 1(b) and 1(c) of the Policy this insurance covers loss or damage by fire occasioned by or through or in consequence of earthquake and volcanic eruption and/or hurricane, cyclone, typhoon and windstorm. It is agreed that in every case of loss or damage the Insured must prove that no part of the loss or damage claimed for was caused otherwise than by fire.

B. Other than fire but including flood

In consideration of the payment of an additional premium by the Insured to UOI, UOI agrees that notwithstanding anything stated to the contrary General Exclusions 1(a), 1(b) and 1 (c) of the Policy this insurance covers loss or damage (other than loss or damage by fire) directly caused by earthquake, volcanic eruption, hurricane, cyclone, typhoon, windstorm & flood (including overflow of the sea) caused by any of the aforementioned perils, subject to the following Excess Clause and Special Conditions.

Provided always that all the Conditions of the Policy shall apply (except insofar as they may be hereby expressly varied) and that any reference therein to loss or damage by fire shall be deemed to apply also to loss or damage directly caused by any of the perils which this insurance extends to include by virtue of this endorsement.

Excess Clause

It is understood and agreed that as regards loss or damage (other than by fire) to any buildings hereby insured directly caused by any peril to which this Clause is herein before stated to apply, UOI’s liability shall be limited to its ratable proportion of the amount by which such loss or damage exceeds either

  1. 1% of the total sums insured against such peril on said buildings by Policies in the name of the Insured, or
  2. S$200.00

whichever shall be the less.

It is further agreed that this Clause shall apply separately to:

  1. each building, for which purpose all insured buildings at the same address will be regarded as one building,
  2. each incident giving rise to such loss or damage and thatforthepurposeshereof - anincidentshallnotbe considered to have terminated until there have been seven consecutive days freedom from the peril concernedandthat only thereafter shall the Clause apply afresh.

Special Conditions

  1. UOI shall not be liable for any loss or damage caused by water or rain, whether driven by wind or not (other than loss or damage caused by flood [including overflow of the sea] when such peril is insured against by Section 1) unless the building insured or containing the insured property shall first sustain actual damage to the roof or walls of same by the direct force of earthquake, volcanic eruption, hurricane, cyclone, typhoon and Windstorm and shall then be liable only for such damage to the interior of the building or the insured property therein as may be caused by water or rain entering the building through openings in the roof or walls made by the direct force the said perils. UOI shall be liable for any loss or damage caused by flood (including overflow of the sea) except when such peril is insured against by Section 1 and is occasioned by earthquake, volcanic eruption hurricane, cyclone, typhoon and windstorm.
  2. This endorsement does not extend the insurance under Section 1 to cover:
    1. Consequential Loss of any kind
    2. Loss or damage caused by hail whether driven by wind or not
    3. Loss or damage caused by subsidence or landslip except when this is occasioned by earthquake or volcanic eruption provided that these perils are insured against by Section 1
    4. Loss or damage caused by explosion except as provided in Exception 2(g) under Section 1
    5. Loss by reason of any ordinance or law regulating the construction or repair of buildings
  3. UOI shall not be liable under this extension for loss or damage which at the time of the happening of such loss or damage is insured by or would, but for the existence of this extension, be insured by any other existing Policy or Policies except in respect of any excess beyond the amount which would have been payable under such other Policy or Policies had this insurance not been effected.
  4. Unless specifically and separately insured this endorsement does not cover:
    1. Metal smoke stacks, awnings, blinds, signs or other outdoor fixtures or fittings of any description
    2. Premises in course of construction, reconstruction or repair unless all outside doors, windows and other openings thereto are complete and protected against hurricane, cyclone, typhoon and windstorm when such perils are insured against by Section 1.

C. Including full flood

In consideration of the payment by the Insured to UOI of an additional premium it is hereby agreed and declared that the insurance under Section 1 shall extend to include loss or damage to the property described in the Schedule directly caused by:

Flood, which for the purposes of this extension shall mean the overflowing or deviation from their normal channels of either natural or artificial water courses, bursting or overflowing of public water mains and any other flow or accumulation of water originating from outside the building insured or containing the insured property, but excluding

  1. Loss or damage by flood caused by earthquake, volcanic eruption, hurricane, cyclone, typhoon or windstorm;
  2. loss or damage caused by subsidence or landslip;
  3. the first S$1,000.00 of each and every loss.

Explosion

It is hereby agreed and declared that the insurance under Section 1 shall, subject to the Special Conditions hereinafter contained, extend to include :-

Loss or damage to the insured property by fire or otherwise directly caused by explosion, but excluding loss of or damage to boilers, economisers, or other vessels, machinery or apparatus in which pressure is used or their contents resulting from their explosion.

Provided always that all the conditions of this Section (except insofar as Exception 2(g) under Section 1 is hereby expressly varied) shall apply as if they had been incorporated herein and for the purpose hereof any loss or damage by explosion as aforesaid shall be deemed to be loss or damage by fire within the meaning of Section 1.

Special Conditions

  1. UOI shall not be liable, under this extension, for loss or damage occasioned by or through or in consequence, directly or indirectly, of acts of terrorism committed by a person or persons acting on behalf of or in connection withany organization.

    For the purpose of this Condition, "terrorism" means the use of violence for political ends and includes any use of violence for the purpose of putting the public or any section of the public in fear.

    In any action, suit or other proceeding, where UOI alleges that by reason of the provisions of this Condition any loss or damage is not covered by this insurance, the burden of proving that such loss or damage is covered shall be upon the Insured.
  2. If there shall be any other fire insurance on the insured property under Section 1, UOI shall be liable only pro-rata with such other fire insurance for any loss or damage by explosion whether or not such other fire insurance be extended to cover loss or damage by explosion.
  3. UOI shall not be liable under this extension for loss or damage which at the time of the happening of such loss or damage is insured by or would, but for the existence of this extension, be insured by any other existing policy or policies except in respect of any excess beyond the amount which would have been payable under such other policy or policies had this insurance not been effected.

Impact damage by road vehicle

In consideration of the payment of an additional premium by the Insured to UOI, it is hereby agreed and declared that the insurance under Section 1 shall extend to include loss or damage to the property described in the Schedule and/or to any walls, gates and fences around and pertaining thereto directly resulting from, impact by any road vehicles horses or cattle not belonging to or under the control of the Insured, or any member of his family, or any person in and upon the Insured's service, provided that the first S$50.00 of each and every loss under this endorsement shall be borne by the Insured.

Riot and Strike

It is hereby agreed and declared that notwithstanding anything in the within written Policy contained to the contrary the insurance under Section 1 shall extend to cover Riot and Strike damage which for the purpose of this endorsement shall mean (subject always to the Special Conditions hereinafter contained)

Loss of or damage to the insured property directly caused by:

  1. The act of any person taking part together with others in any disturbance of the public peace (whether in connection with a strike or lockout or not) not being an occurrence mentioned in General Exclusions 1(b), 1(c) and 1(d) of the Special Conditions
  2. The action of any lawfully constituted authority in suppressing or attempting to suppress any such disturbance or in the consequences of any such disturbance.
  3. The willful act of any striker or locked-out worker done in furtherance of a strike or in resistance to a lock-out.
  4. The action of any lawfully constituted authority in preventing or attempting to prevent any such act or in minimizing the consequences of any such act.

Special Conditions

  1. This insurance does not cover:
    1. Loss of earnings, loss by delay, loss of market or other consequential or indirect loss or damage of any kind or description whatsoever
    2. Loss or damage resulting from total or partial cessation of work or the retarding or interruption or cessation of any process or operation
    3. Loss or damage occasioned by permanent or temporary dispossession resulting from confiscation, commandeering or requisition by any lawfully constituted authority
    4. Loss or damage occasioned by permanent or temporary dispossession of any building resulting from the unlawful occupation by any person of such building
    5. Loss or damage directly or indirectly caused by or arising from or in consequence of or contributed to by nuclear weapons material

Provided nevertheless that UOI is not relieved under (c) or (d) above of any liability to the Insured in respect of physical damage to the insured property occurring before dispossession or during temporary dispossession.

  1. This insurance does not coverlossor damage directlyorindirectly caused byorarising fromorin consequence of or contributed by ionising radiations or contamination by radioactivity from any nuclear fuel or from any nuclear waste from the combustion of nuclear fuel. For the purposes of this exclusion (ii) only combustion shall include any self-sustaining process of nuclear fission.

Malicious damage

It is hereby agreed and declared that the insurance under the said Riot and Strike Endorsement shall extend to include malicious damage which for the purpose of this extension shall mean

Loss of or damage to the insured property directly caused by the malicious act of any person (whether or not such act is committed in the course ofa disturbance ofthe public peace) not being an act amounting to orcommitted in connectionwith an occurrence mentioned in General Exclusion 1(a) and 1(b) of the said riot and strike endorsement.

But UOI shall not be liable under this extension for any loss or damage by fire or explosion nor for any loss or damagearising out of or in the course of burglary, housebreaking, theft or larceny orany attempt thereat or caused by any persontaking part therein.

Provided always that all the conditions and provisos of the said Riot and Strike Endorsement shall apply to this extension as if they had been incorporated herein.

Sprinkler leakage

It is hereby agreed and declared that the insurance under Section 1 shall extend to cover Sprinkler Leakage which shall mean destruction or damage caused by water accidentally discharged or leaking from the automatic sprinkler installation provided that the leakage is not a result of the following causes:

  1. Heat caused by fire
  2. Repairs or alterations to the building or premises
  3. The Sprinkler Installation being repaired, removed or extended
  4. Freezing in the event of the premises being vacant or unoccupied, or freezing due to the neglect of the Insured
  5. The order of the Government or of any municipal local or other competent authority
  6. Subterranean fire
  7. Explosion
  8. Defects in construction or condition of which the Insured is aware

Section 2 - Increased Cost of Working

If the properties covered under Section 1 is lost or damaged by the perils insured and the loss or damage results in the interruption of or interference with the Insured’s business, UOI will pay the Insured for the amount specified in the Policy Schedule.

Basis of Settlement

Loss payable under this Section shall be the amount of daily benefit as specified in the Schedule multiplied by the actual number of days the Insured’s business is totally suspended from operation but subject to a maximum of 60 days.

No indemnity shall be payable if the damaged or destroyed property is not rebuilt, repaired or replaced or the interruption period is less than 1 day.

Additional Benefits applicable to this Section

We will extend and pay for loss and/or damage as defined below up to the Limits of Indemnity stated hereunder subject to the terms and conditions of the Policy:

1. Denial of Access

Loss as insured in this Section resulting from interruption of or interference with the Business in consequences of Damage to property in the vicinity of the premises which shall prevent or hinder the use thereof or access thereto, whether the property of the Insured shall be damaged or not, shall be deemed to be loss resulting from Damage.

2. Failure of Electricity Supply

Loss as insured by this Section resulting from interruption of or interference with the Business in consequence of damage to property at any electricity station or substations from which insured obtain electric current shall be deemed to be loss resulting from Damage.

Provided that, UOI shall not be liable for any loss under this extension unless the failure of electric current from such electricity station or sub-station exceed a continuous period of 24 hours and our liability under this Section shall apply only to such period in excess of 24 hours but subject to the maximum insured period stipulated in the Schedule.

3. Outbreak of Human Infectious or Contagious Disease

Closure of the insured premises by the order of a competent public authority of Singapore due to:

  1. Human infectious or contagious disease occurring at the premises, or
  2. The outbreak of a notifiable human or infectious or contagious

Section 3 - Work Injury Compensation

UOI will indemnify the Insured against all sums which the Insured becomes legally liable to pay as damages if at any time during the period of insurance any employee in the Insured's immediate service shall sustain bodily injury by accident or disease arising out of and in the course of his employment by the Insured in the business and if the Insured shall be liable to pay compensation for such injury either under the legislation set out below or at common law and will in addition be responsible for all costs and expenses incurred with its consent in defending any claim for such compensation.

PROVIDED always that in the event of any change in the legislation or the substitution of other legislation thereof this Policy shall remain in force but the liability of the Company shall be limited to such sum as the Company would have been liable to pay if the legislation had remained unaltered.

Limit of Liability

The Company’s liability in respect of Common Law claims shall be limited to $10,000,000.00 for any one claim or series of claims arising out of one event.

Avoidance of Certain Terms And Right Of Recovery

Nothing in this Policy or any endorsement hereon shall affect:

  1. the right of any person entitled to indemnity under this Policy, or
  2. the right of any other person to recover compensation,

under or by virtue of the Legislation.

BUT the Insured shall repay to the Company all sums paid by the Company which the Company would not have beenliable to pay but for the Legislation.

Legislation

Work Injury Compensation Act (Cap. 354), amendments and re-enactment thereof and any regulations made thereunder.

Jurisdiction

  1. This Policy shall be governed by the laws of the Republic of Singapore
  2. The indemnity under this Policy shall not apply in respect of judgments which are not in the first instance delivered by or obtained from a court or tribunal of competent jurisdiction within the Republic of Singapore

Special Exclusions

The Company shall not be liable under this policy in respect of

  1. the Insured's liability to employees of independent contractors engaged by the Insured.
  2. any liability of the Insured which attaches by virtue of an agreement but which would not have attached in the absence of such an agreement.
  3. any sum which the Insured would have been entitled to recover from any party but for an agreement between the Insured and such party.
  4. any injury to any employee of the Insured resulting from an accident if it is proved that the injury to the employee is directly attributable to the employee having been at the time thereof under the influence of alcohol or a drug not prescribed by a medical practitioner unless the Insured is liable under the Legislation
  5. any incapacity or death resulting from a deliberate self-injury or the deliberate aggravation of an accidental injury

Section 4 - Public Liability

UOI will indemnify the Insured against all sums which the Insured shall become legally liable to pay as damages in respect of

  1. accidental bodily injury (including death or disease) to any person
  2. accidental loss of or damage to property

happening in connection with the Business and occurring during the Period of Insurance

  1. in Singapore and
  2. elsewhere in the world in connection with commercial visits by director or non-manual staff of the Insured normally resident in and traveling from Singapore

UOI will also pay

  1. legal costs, charges and expenses incurred by either UOI or the Insured with the written consent of UOI
  2. costs, charges and expenses recoverable from the Insured by any claimant.

Limits of indemnity

UOI's liability for all claims shall not exceed the Limit of Indemnity stated in the Schedule in respect of one occurrence or series of occurrences consequent upon one original cause in respect of all bodily injury loss or damage and is unlimited in any one Period of Insurance in respect of all occurrences.

Exclusions

UOI will NOT pay for

    1. Liability for bodily injury to any person arising out of or in the course of the employmentof such person by the Insured
    2. Liability imposed by any Government or other Authority for compensation or reimbursement under any legislation relating to such bodily injury.
  1. Liability for loss of or damage to property belonging to or in the charge custody or control of the Insured or any member of the Insured's family or household or any employee of the Insured other than personal effects belonging to directors employees or visitors
  2. Liability for rectifying faulty workmanship.
  3. Expenditure incurred in doing or redoing or making good any work which the Insured has contracted to do.
  4. Liability for bodily injury or property damage accepted by agreement unless such liabilities would still have arisen if the agreement had not been entered into.
  5. Liability for bodily injury or property damage caused by any breach of professional duty or any error or omission related to such breach by the Insured or as a consequence of the Insured acting as a Consultant or Professional Advisor providing services, advice, designs, plans, specifications or formulae for a fee or commission.
  6. Liability for bodily injury or property damage caused by any goods or any containers sold or supplied or repair renovated, let, on hire or handled by the Insured and no longer in the Insured's possession or control (other than food or drink sold or supplied on the Premises and not being part of the Business of the Insured).
  7. Bodily injury loss or damage to property caused by vibration or the removal or weakening of or interference with support to land buildings or any other property.
  8. Loss of or damage to property caused by or resulting from explosion of any boiler or other apparatus owned or used by the Insured which is intended to operate under internal pressure due to steam.
    1. Liability for bodily injury or property damage or loss of use of property directly or indirectly caused by seepage, pollution or contamination unless such seepage, pollution or contamination is caused by a sudden unintended and unexpected happening during the Period of Insurance.
    2. The cost of removing, nullifying or cleaning up seeping, polluting or contaminating substance unless the seepage, pollution or contamination is caused by a sudden, unintended and unexpected happening during the Period of Insurance.
  9. Liability for Bodily Injury or Property Damage caused by
    1. The ownership, maintenance or use by or on behalf of the Insured of any aircraft, spacecraft or satellite, aerial device, aircraft landing areas, watercraft or hovercraft.
    2. The refuelling of any aircraft or aerial device.
  10. Liability for bodily injury or property damage caused by the ownership, maintenance or use by the Insured of any Vehicle in respect ofwhich registration and/or insurance is required by virtue of any legislation.
  11. Fines, Penalties or Exemplary Damages.
  12. Any judgement delivered by or obtained from a court in any country outside the Republic of Singapore in which the Insured is represented by or through any branch or subsidiary or associated company or companies or by an employee domiciled in such country or by a company or individual holding the Insured's power of Furthermore the Company shall not be liable in respect of a judgement or order obtained in the Republic of Singapore for the enforcement of a judgement obtained in such other country.

Definitions

  1. "Insured" is deemed to include the following under this Section
    1. The named
    2. Any director, partner or employee of the Insured but only whilst acting within the scope of their duties in such capacity.
    3. Where more than one party comprises the Insured each of the parties shall be considered as a separate and distinct entity and the word "Insured" will be considered as applying to each party in the same manner as if a separate policy had been issued to each of the said parties provided that nothing in this Clause will operate to increase UOI's
    4. Where the Insured is comprised of more than one party, then any information supplied or any omission or non-disclosure by any one party will be deemed to have supplied, omitted or withheld by and on behalf of all such parties.
  2. "Vehicle" means any type of machine (including its attachments) on wheels or on self-laid tracks made or intended to be propelled by other than animal or manual power or monorail.
  3. "Business" means only the Business specified in the Schedule and includes the provision and management of
    1. Canteen, social, sports, welfare and child care facilities for the benefit of the Insured's employees, members or guests.
    2. First aid, medical, fire and ambulance services provided by the Insured.

MEMORANDA

1 Total Asbestos Exclusion

It is hereby understood and agreed that this contract shall not apply to and does not cover any actual or alleged liability whatsoever for any claim or claims in respect of loss or losses directly or indirectly arising out of, resulting from or in consequence of asbestos in whatever form or quantity.

2 Cyber Risks Exclusion

It is hereby understood and agreed that this insurance shall not indemnify the insured in respect of any claim or loss arising out of any activities and/or business conducted and/or transacted via the internet, intranet, extranet and/or via the insured's own website, internet site, web address and/or via the transmission of electronic mail or documents by electronic means.

Section 5 - Electronic Equipment

A Material Damage

UOI will indemnify the Insured for the cost of repairs to or replacement of the Electronic Data Processing (EDP) equipment caused by any unforeseen and sudden physical loss or damage from any cause other than those specifically excluded.

Exclusions

UOI will NOT pay for

  1. The first S$250 of each and every event giving rise to a claim
  2. Loss or damage directly or indirectly caused by or arising from
    1. faults or defects existing at the time of commencement of this Section
    2. failure or interruption of any gas, water or electricity service or
  3. Loss or damage as a direct consequence of the continual influence of operation (e.g. wear and tear, cavitation, erosion, corrosion, incrustation) or of gradual deterioration due to atmospheric
  4. Loss or damage for which the manufacturer or supplier is
  5. Loss of or damage to rented or hired equipment for which the owner is responsible either by law or under a lease and/or maintenance
  6. Any costs incurred in connection with
    1. the elimination of functional failures, unless such failures were caused by an indemnifiable loss of or damage to the insured items;
    2. the maintenance of the insured items, such exclusion also applies to parts exchanged in the course of such maintenance
    1. Expendable parts such as but not limited to valves, tubes, ribbons, fuses, seals, belts, wires, chains, rubber tyres, exchangeable parts, engraved cylinders, objects made of glass, porcelain or ceramics, sieves or fabrics, or any operating media;
    2. Aesthetic defects such. as scratches on painted, polished or enamelled surfaces.

UOI shall provide compensation in the event that such parts are affected by an indemnifiable loss of or damage to the Insured Property.

  1. Consequential loss or liability of any kind

Sum Insured

The Sum Insured is to be equal to the cost of replacement of the insured items by new items of the same kind and capacity, which means their replacement costs including, e.g., freight, customs duties and dues, if any, and erection cost.

Basis of Settlement

In cases where damage to an insured item can be repaired, UOI shall pay expenses necessarily incurred to restore the damaged item to its former state of serviceability plus the cost of dismantling and re-erection incurred for the purpose of effecting the repairs as well as ordinary freight to and from a repair shop, customs duties and dues, if any, to the extent such expenses have been included in the Sum Insured. If the repairs are executed at a workshop owned by the Insured, UOI shall pay the cost of materials and wages incurred for the purpose of the repairs plus a reasonable percentage to cover overhead charges. No deduction shall be made for depreciation in respect of parts replaced, but the value of any salvage shall be taken into account. If the costs of repairs as detailed hereinabove equal or exceed the actual value of the insured items immediately before the occurrence of the damage, the settlement shall be made on the basis provided below.

In cases where an insured item is destroyed, UOI shall pay the actual value of the item immediately before the occurrence of the loss, including costs for ordinary freight, erection, customs duties and dues, if any, to the extent such expenses have been included in the Sum Insured. UOI shall also pay any normal charges for the dismantling of the item destroyed, but the value of any salvage shall be taken into account. The destroyed item shall no longer be covered under this Section, and all necessary data on the relevant substitute item shall be indicated for its inclusion in the Schedule. Any extra charges incurred for overtime, night work, work on public holidays or express freight shall be covered by this Section only if specially agreed in writing. The cost of any alterations, additions, improvements or overhauls shall not be recoverable under this Section. The costs of any provisional repairs shall be borne by UOI if such repairs constitute part of the final repairs and do not increase the total repair expenses. UOI shall make payments only after being satisfied by production of the necessary bills and documents that the repairs have been effected or replacement has taken place, as the case may be.

Special Condition

Maintenance Contract/Services shall be deemed to be defined as follows during the period of the Policy

  1. Safety Checks
  2. Preventive
  3. Rectification of loss or damage or faults arising from normal operation as well as from ageing, e.g. by repair or replacing of modules, sections, assemblies and
  4. Elimination of damage or troubles having occurred as a result of normal operation or wear and tear and requiring repair or replacement of components, modules and parts

The cost of such maintenance work shall not be covered within this Section.

B External Data Media

If the specified external data media inclusive of the information stored thereon, suffer any Material Damage payable under Section 5A, UOI will pay the Insured in respect of expenses incurred up to an amount not exceeding that stated in the Schedule for reconstruction and re-recording of such information.

Exclusions

UOI will NOT be liable for

  1. The first S$250 of each and every event giving rise to a claim
  2. Any costs arising from false programming punching, labelling or inserting, inadvertent cancelling of information or discarding of data media, and from loss of information caused by magnetic fields
  3. Consequential loss of any kind

Sum Insured

The Sum Insured is to be equal to the amount required for restoring the insured external data media by replacing lost or damaged data media by new material and reproducing lost information.

Basis of Settlement

UOI shall pay for any expenses that can be proven to have been incurred by the Insured within a period of 12 months as from the date of the occurrence strictly for the purpose of restoring the insured external data media to a condition equivalent to that existing prior to the occurrence and necessary for permitting data processing operations to be continued in the normal manner.

If it is not necessary to reproduce lost data or information, or if such reproduction is not effected within 12 months after the occurrence, UOI shall only be liable to pay for the expenses incurred for replacing the lost or damaged data media themselves by new material.

Memoranda

1 Automatic Reinstatement of Loss

The Total Sum Insured will not be reduced by the amount of a loss provided that the Insured pays or agrees to pay any additional Premium that may be required.

2 Loss Notification

It is hereby declared and agreed that notwithstanding anything contained herein this Insurance will not be prejudiced by any inadvertent delays errors or omissions in notifying UOI of any circumstances or events giving rise or likely to give rise to a claim under this Section, subject to the Insured notifying UOI immediately when such circumstances or events is known to the insured.

3 Measures taken in Avoidance of Impending Loss or Damage

UOI will pay the Insured in respect of Costs incurred by the Insured in taking reasonable but exceptional measures to avoid or mitigate impending loss or damage indemnifiable by this Section.

Provided that

  1. The impending loss or damage does not stem from any reasonably foreseeable cause and that loss or damage would be the natural outcome to be expected in the absence of such measures.
  2. UOI is satisfied that loss or damage has been avoided or reduced in consequence of the measures taken

Subject always to the amount recoverable being limited to the amount of the loss or damage avoided or reduced calculated in accordance with the terms of Section 5A and limited always to the Sum Insured as stated in the Schedule.

Section 6 - Money

UOI will indemnify the Insured against loss of or damage to Money occurring during the Period of Insurance up to the amount stated in the Schedule

  1. whilst the Money is on the insured Premises contained
    1. in locked safe/strongroom
    2. in locked drawer/cabinet/cash register
  2. in transit anywhere in the Republic of Singapore provided that money is in the personal custody of the Insured or his authorised employees.

Exclusions

UOI will NOT pay for

  1. Consequential loss of any kind
  2. Any losses which are more specifically insured.
  3. Loss or damage caused by or arising from:
    1. Theft from a vehicle unless accompanied by visible, forcible and violent entry up to a limit of S$500 per vehicle.
    2. Theft from a safe or strongroom opened by a key or by use of a combination, either of which has been left unsecured on the Premises when the Insured or any authorised Employees are not on the Premises
    3. Shortage due to clerical or accounting error or omission, mysterious disappearance
    4. Fraudulent or dishonest acts or fraudulent misappropriation by the Insured or any person in the service of the Insured

Definitions

  1. "Money" means bank notes or cheques money orders postal orders, or current unused stamps, vouchers,
  2. "Business hours" means the Insured's working and office hours (including overtime) when the Insured, directors, officers, partners employees are on the Premises for the purpose of the Business
  3. "Safe” means a burglar-resistant container which has been designed to resist fire and attack by hand-held or power-operated tools and has been specifically designed for the storage of Money and valuables
  4. "Strongroom" means a burglar-resistant structure constructed of masonry and steel which has been designed to resist fire and attack by hand-held or power-operated tools and has been specifically designed for the storage ofMoney and Valuables.

Limit of Indemnity

The liability of UOI in respect of any occurrence or series of occurrences arising from or attributed to one source or original cause shall not exceed the amount stated in respect of each item in the Schedule.

Warranty

The Insured shall keep a daily record of the amount of Money contained in the locked safe, strongroom, drawer and cabinet and that such record shall be deposited in a secured place other than the locked safe, strongroom, drawer and cabinet. This is required as documentary evidence in the event of a claim.

Memoranda

1 Armed Robbery &/or Hold-Up

This Section is extended to indemnify the Insured against loss of or damage to the money insured directly consequent upon assault violence or threat of violence upon the Insured's employee(s).

2 Automatic Reinstatement

The total sum insured will not be reduced by the amount of a loss provided that the Insured pays or agrees to pay any additional premium that may be required.

3 Damage to Safe or Strongroom

UOI will pay for loss or damage to safe/strongroom up to S$500 following theft or an attempted theft of Money.

4 Limit of Money After Business Hours

It is hereby declared and agreed that the Limit of Liability for Any One Loss in respect of money on the Premises after business hours contained in locked drawer/cabinet/cash register is limited to S$1,000.

5 Limit of Money Outside Locked Safe/Strongroom/Drawer/Cabinet/Cash Register

It is hereby declared and agreed that the Limit of Liability for Any One Loss in respect of money on the Premisesoutside locked safe/drawer and cabinet shall be limited to S$500.

Section 7 - Fidelity Guarantee

UOI will indemnify the Insured for loss of Money (that is cash currency notes or coins bank notes or cheques money orders postal orders, or current unused stamps, vouchers, tickets) or other property, belonging to the Insured or for which the Insured is legally responsible as a direct result of any act of fraud or dishonesty committed by an Insured Employee which occurs during the Period of Insurance and during the uninterrupted service of the Insured Employee with the Insured and is discovered and notified to UOI.

  1. During the Period of Insurance or
  2. Within 12 calendar months of being committed

Up to the Amount Guaranteed shown in the Schedule.

All losses in respect of the one event or series of events arising from the one source or original cause, as a direct result of any act of fraud or dishonesty committed during the Period of Insurance shall be deemed to be one event.

The Amount Guaranteed is reduced by any payment made or due to be made under this Section during any one Period of Insurance.

Exclusions

UOI will NOT pay

  1. If the nature of the Insured's Business is changed unless it is notified to UOI
  2. If the precautions and checks for securing accuracy of accounts and stock level are not duly observed

Definitions

"Insured employee" will mean any person employed by or apprenticed to or Executive Director or officer of the Insured who the Insured has the right to direct in the course of the Business.

Special conditions

1 Discovery

Once the Insured becomes aware of or has reason to suspect an Insured Employee has committed an act of fraud or dishonesty, UOI will not be liable for any further loss due to any act of fraud or dishonesty committed by such Insured Employee after such discovery.

2 Acquisitions

This Section does not cover any company or other legal entity acquired by the Insured during the Period of Insurance unless it has been reported to UOI.

3 Proof of Loss

UOI will not be liable for losses where the Insured is unable to identify the Insured Employee responsible.

4 Recoveries

Following an Insured loss the Insured will to the extent allowed by law, retain all monies and other assets due to the Insured Employee which caused the Insured event and will treat such monies or assets as a deduction from the claim.

Memoranda

1 Auditors

This Section is extended to indemnify the Insured in respect of Auditors Fees necessarily incurred by the Insured with the consent of the Insurers in substantiating the amount of claim.

The liability of the Company under this extension is limited to the sum of S$1,000.

Section 8 - Burglary

UOI will indemnify the Insured by payment or at the option of UOI by repair reinstatement or replacement against loss of or damage to the insured property by theft following forcible means or any attempt thereat.

Exceptions

This Section does not cover loss or damage

  1. by theft or attempt thereat brought about by any member of the Insured's family or his business or domestic staff.
  2. to deeds bonds bills of exchange bank treasury or promissory notes cheques money securities for money stamps coins computer systems records or media
  3. to insured property contained in that portion of the premises used for private residential purposes
    1. occurring whenever that portion of the premises is unoccupied other than loss or damage occurring during the first thirty days of unoccupancy
    2. happening while the said portion of the premises are lent let or sub-let.

Memoranda

1 Armed Robbery/Hold-up

It is hereby declared and agreed that this Section is extended to cover the risks of armed robbery and hold-up at the Insured's Premises.

2 Automatic Reinstatement

The Total Sum Insured will not be reduced by the amount of a loss provided that the Insured pays or agrees to pay any additional Premium that may be required.

Section 9 - Plate Glass

UOI will indemnify the Insured by payment or at its option by reinstatement against the breakage of Glass Insured, including the reasonable cost of any necessary boarding up incurred in consequence of such breakage.

Exceptions

UOI will not indemnify the Insured against

  1. breakage resulting directly or indirectly from
    1. fire lightning explosion cyclone hurricane tornado typhoon or earthquake
    2. defects in framework, beadings or other fittings
  2. claims in respect of
    1. embossing silvering ornamental work bent stained bevelled or movable glass unless specifically insured hereunder
    2. the cost of removal or replacement of any fittings fixtures or other obstructions to replacement
    3. any consequential loss damage or/injury

Special conditions

1 The Glass

The Glass Insured shall be deemed to be plain unless otherwise specified and shall be taken to be replaced by glass of usual thickness or substance.

2 Repositioning of the Glass Insured

The Glass Insured is only covered whilst it remains in the position in which it is fixed and provided no step is taken to remove such Glass, change its position or carry out any work or alteration to it or its framework beadings or other fittings. Showcases may be removed in the same premises provided the Glass Insured therein remains in its fixed position but UOI shall not be liable for breakage during such removal.

Memo A : Cost of Removal of Frames and Frameworks

Notwithstanding anything contained in Exception 2(b) to the contrary, this Policy extends to cover reasonable costs incurred in the removal and reinstatement of frames and frameworks in the event of a loss where such removal is necessary to effect replacement of any broken glass upto Sum Insured.

General Exclusions

Applying to all Sections

1 War, Confiscation or Nuclear Damage

This Contract does not cover loss, damage, injury or liability directly or indirectly caused by, related to or in consequence of:

  1. War, invasion, acts of foreign enemies, hostilities or warlike operations (whether war be declared or not), civil war
  2. Mutiny, civil commotion assuming the proportions of or amounting to a popular uprising, military uprising, insurrection, rebellion, revolution, military or usurped power
  3. Acts of terrorism committed by a person or persons acting on behalf of or in connection with any organisation. For the purpose of this exception, "terrorism" means the use of violence for political ends and includes any use of violence for the purpose of putting the public or any section of the public in fear;
    1. Permanent or temporary dispossession resulting from confiscation nationalisation commandeering or requisition by any lawfully constituted authority
    2. Permanent or temporary dispossession of any building resulting from the unlawful occupation of such building by any person

Provided that UOI shall not be relieved of any liability to the Insured in respect of physical damage to the insured property occurring before dispossession or during temporary dispossession which is otherwise covered by this Section.

  1. The destruction of property by order of any public authority other than when such order follow loss destruction or damage to the insured property arising from Perils Covered under Section 1.

In any action suit or other proceeding where UOI alleges that by reason of the provisions of Exclusion 1(a), 1(b) and 1(c) above any loss destruction or damage is not covered by this insurance the burden of proving that such loss destruction or damage is covered shall be upon the Insured.

  1. Nuclear weapons materials
  2. lonising radiations or contamination by radioactivity from any nuclear waste or from the combustion of nuclear "Nuclear Fuel" means any material which is capable of producing energy by a self-sustaining chain process of nuclear fission.

2 Electronic Date Exclusion

It is hereby understood and agreed that this Policy does not cover any loss of or damage directly or indirectly caused by or consisting of or arising from the failure or inability of any computer, electronic equipment, data processing or media, microchip, embedded chip, integrated circuit or similar device, or firmware or any computer software whetherthe property of the Insured or not, occurring at any time to:

  1. Correctly recognize any date as its true calendar date
  2. Capture save or retain, and/or correctly to manipulate, interpret or process any data or information or commandor instruction as a result of treating any date otherwise than as its true calendardate
  3. Capture save retain or correctly to process any data as a result of the operation of any command which hasbeen programmed into any computer software, being a command which causes the loss of data or the inabilityto capture save retain or correctly to process such data on or after any date.

But this shall not exclude subsequent loss of or damage not otherwise excluded, which itself results from a defined peril.

The words “defined peril” shall mean fire, lightning, explosion, aircraft or other aerial devices or articles dropped therefrom, riot and strike, malicious damage, earthquake, storm, flood, escape of water from any tank apparatus or pipe or impact by any road vehicle or animal where such loss of or damage is insured by the Policy.

3 Alteration

This Contract does not cover loss, damage, injury or liability arising from any alteration in the trade or processes carried on at the Premises or in the nature of the occupation or other circumstances affecting the Insured Property in such way as to increase the risk of loss or damage unless UOI has first been notified of any such alteration and the Insured has agreed to pay any additional premium as may be required by UOI.

Special Conditions - Applying to all Sections

IT Clarification

Property Damage covered under this Policy shall mean physical damage to the substance of property.

Physical damage to the substance of property shall not include damage to data or software, in particular any detrimental change in data, software or computer programs that is caused by a deletion, a corruption or a deformation of the original structure.

Consequently the following are excluded from this Policy:

  1. Loss of or damage to data or software, in particular any detrimental change in data, software or computer programs that is caused by a deletion, a corruption or a deformation of the original structure and any business interruption losses resulting from such loss or Notwithstanding this exclusion, loss of or damage to data or software which is the direct consequence of insured physical damage to the substance of property shall be covered.
  2. Loss or damage resulting from an impairment in the function, availability, range of use or accessibility of data, software or computer programs, and any business interruption losses resulting from such loss or damage.

Terrorism Exclusion

Notwithstanding any provision to the contrary within this insurance or any endorsement thereto it is agreed that this insurance excludes any loss, damage, cost or expense of whatsoever nature directly or indirectly caused by, resulting from or in connection with any act of terrorism regardless of any other cause or event contributing concurrently or in any other sequence to the loss.

For the purpose of this exclusion an act of terrorism means an act, including but not limited to the use of force or violence and/or the threat thereof, of any person or group(s) of persons, whether acting alone or on behalf of or in connection with any organisation(s) or government(s), committed for political, religious, ideological or similar purposes including the intention to influence any government and/or to put the public, or any section of the public, in fear.

This exclusion also excludes loss, damage, cost or expense of whatsoever nature directly or indirectly caused by, resulting from or in connection with any action taken in controlling, preventing, suppressing or in any way relating to any act of terrorism.

If the Company allege that by reason of this exclusion, any loss, damage, cost or expense is not covered by this insurance the burden of proving the contrary shall be upon the Insured.

In the event any portion of this exclusion is found to be invalid or unenforceable, the remainder shall remain in full force and effect.

CRTPA Exclusion

It is hereby understood and agreed that a person who is not a party to this Policy contract shall have no right under the Contracts (Rights of Third Parties) Act 2001 to enforce any of its terms.

Subject otherwise to the terms and conditions of this Policy.

Premium Payment Warranty

  1. Notwithstanding anything herein contained but subject to Clause 2 hereof, it is hereby agreed and declared thatif the period of insurance is 60 days or more, any premium due must be paid and actually received in full by the Insurer (or the intermediary through whom this Policy was effected) within 60 days of the inception date of the coverage under the Policy, Renewal Certificate or Cover
  2. In the event that any premium due is not paid and actually received in full by the Insurer (or the intermediary through whom this Policy was effected) within the 60-day period referred to above, then:
    1. the cover under the Policy, Renewal Certificate or Cover Note is automatically terminated immediately after the expiry of the said 60-day period;
    2. the automatic termination of the cover shall be without prejudice to any liability incurred within the said 60- day period; and
    3. the Insurer shall be entitled to a pro-rata time on risk premium subject to a minimum of S$50.00.
  3. If the period of insurance is less than 60 days, any premium due must be paid and actually received in full by the Insurer (or the intermediary through whom this Policy was effected) within the period of insurance

General Conditions - Applying to all Sections

1 Interpretation

Any word or expression which is given a specific meaning in this Contract will have that meaning wherever it may appear.

2 Precautions

The Insured will take all reasonable precautions to avoid and minimise injury, loss or damage and to comply with all statutory obligations and By-Laws or regulations imposed by any Public Authority for the safety of persons or property.

3 Observance of Terms and Conditions

The observance and fulfilment of these Conditions and the other terms of the Contract by the Insured are Conditions precedent to any liability of UOI to make any payment under this Contract.

  1. Duty of Disclosure
    Before entering into this Contract, the Insured has a duty to disclose to UOI every matter known to the Insured, or which the Insured could reasonably be expected to know, that is relevant to UOI's decision to accept the risk and issue this Contract and if so, on what terms.
    The Insured has the same duty to disclose those matters to UOI before each Renewal, Extension, Endorsement or Reinstatement of this Contract.
  2. Non-Disclosure
    If the Insured fails to comply with the Duty of Disclosure UOI may be entitled to refuse a claim under this Contract or cancel this Contract. If the non-disclosure is fraudulent UOI may cancel this Contract from inception.

5 Claims Procedure

On the happening of any event likely to give rise to a claim under this Contract the Insured will

  1. Take all reasonable precautions to prevent further loss, damage, injury or liability.
  2. Notify UOI as soon as practicable and if property is lost or if theft or malicious damage is suspected, inform the police
  3. Deliver to UOI full particulars of the claim in writing and will not negotiate, admit nor repudiate any claim by any person

UOI has the right to negotiate, defend or settle in the name of and on behalf of the Insured any claim made under this Contract and to exercise for its own benefit any legal right of recovery held by the Insured. The Insured or any other person covered under this Contract will give to UOI such information and assistance as UOI may reasonably require.

6 Progress Payments

Provided that liability has been admitted, UOI will make reasonable progress payments on account of any claim to the Insured at such intervals and for such amounts as may be agreed.

7 Fraudulent Claims

If a claim is in any respect fraudulent or if any fraudulent means or devices are used by the Insured or anyone acting on the Insured's behalf to obtain benefit under this Contract, or if any loss, damage or injury is occasioned by the wilful act or with the connivance of the Insured, all benefit under this Contract will be forfeited.

8 Under-Insurance

If at the time of loss or damage the Sum Insured does not represent the full cost of replacing all of the Insured Property at that time, including additional fees and costs which would be payable in connection with such replacement, then the Insured shall be considered as being their own insurer for the difference between the Sum Insured and the sum representing the actual cost of replacing the Insured Property including the additional fees and costs referred to above and shall bear a rateable proportion of the loss accordingly.

Every item, if more than one, of this Policy shall separately be subject to this Condition.

9 Other Insurance

The Insured will give written notice to UOI as soon as practicable of any other insurance or insurances effected by the Insured, or by any other person which may indemnify the Insured for loss or damage covered under this Contract.

If at the time of any loss under this Policy there be any other subsisting insurance or insurances whether effected by the Insured or by any other person or persons covering such loss or any part thereof UOI shall not be liable to pay to contribute more than its rateable proportion of such loss.

10 Subrogation

No admission offer promise or payment shall be made by or on behalf of the Insured without the written consent of UOI. UOI shall be entitled if it so desires to take over and conduct in the Insured's name the defence or settlement of any claim or to prosecute in the Insured's name for its own benefit any claim for indemnity or damages or otherwise and shall have full discretion in the conduct of any proceedings and in the settlement of any claim and the Insured shall give such information and assistance as UOI may require.

11 Cancellation

Both the Insured and the Company may cancel this Policy by sending thirty days' notice by registered letter to either party at his last known address in which event the Insured shall receive a pro rata return of premium for the unexpired period of insurance or the Company shall charge a minimum amount of S$50.00 as the case may be.

12 Arbitration

If any difference shall arise as to the amount to be paid under this Policy (liability being otherwise admitted) such difference shall be referred to an arbitrator to be appointed by the parties in accordance with the statutory provisions for the time being in force. Where any difference is by this condition to be referred to arbitration the making of an award shall be a condition precedent to any right of action against UOI.

13 Free-look

You have a free-look period of 14 business days from the date that you receive this Policy to review it. You are deemed to have received the Policy within 3 business days after we have despatched it. If you decide that this Policy does not suit your needs, you may request to cancel it by giving us clear, written instructions and returning the Policy to us within the free-look period. Provided that no claims have been made during this period, we shall refund the premiums paid by you without interest. This free-look period shall not apply to policies with terms of less than 1 year. It will also not apply to policy renewals.
