BizExchange B2B Online Marketplace Promotion Terms and Conditions

1 Eligibility for Promotion

  1. This Promotion is only eligible to the customers of the BizExchange online marketplace (thebizexchange.com) set up by United Overseas Bank Limited (“UOB”) and cloudBuy plc (“cloudBuy”), who have performed all of the following during the Promotion Period:
    1. registered an account on the Marketplace; and
    2. spent a minimum of S$100 (in a single receipt) on the Marketplace.
  2. Without limiting the generality of the above, the following persons shall not be eligible for the Promotion:
    1. directors or employees / staff of UOB or cloudBuy or UOB or cloudBuy’s subsidiaries, and their immediate family members, during the Promotion Period;
    2. employees and staff of any auditors, advertising agencies, promotion agencies and/or other persons involved (whether directly or indirectly) in organising, promoting and/or conducting the Promotion, and their immediate family members;
    3. persons whose account on the Marketplace is voluntarily or involuntarily suspended, canceled, closed or terminated anytime and for any reason whatsoever;
    4. persons who during the Promotion Period are or have become mentally incapacitated, deceased, insolvent, bankrupt, wound up or who face legal incapacity;
    5. persons who face legal proceedings of any nature or have any legal proceedings of any nature threatened against them; and
    6. persons who UOB may decide to exclude at its discretion without notice and without furnishing any reason, at any time.
  3. Notwithstanding anything herein to the contrary, UOB has the absolute discretion at any time and without having to give any reason, to determine the eligibility of the customers to participate in the Promotion.
  4. By participating in the Promotion, the customers agree to be bound by the rules, regulations and decisions of UOB, by the terms contained herein, and by any other applicable terms and conditions.

2 Promotion Period

  1. The Promotion Period shall commence on 9 January 2017, and shall conclude on either 9 July 2017 or when the first 100 customers have successfully fulfilled the eligibility conditions set out in paragraph 1.1, whichever is earlier.

3 Reward

  1. Under the Promotion, each customer who fulfils all the conditions set out in paragraph 1.1 above shall be entitled to S$100 worth of shopping vouchers (“Reward”).

  2. This Reward is available on a first come, first served basis and only while stocks last. For the avoidance of doubt, each customer who is eligible to receive the Reward shall only be entitled to one (1) Reward each, irrespective of the number of times that the customer has complied with paragraph 1.1 above.

4 Redemption Letter

  1. Each customer who fulfills all the conditions set out in paragraph 1.1 above during the Redemption Period shall be issued with a notice letter in the name of that customer (the “Redemption Letter”). The Redemption Letter shall be sent to the address of the applicable customer that is last known to UOB in its records within two (2) months from UOB’s confirmation that the customer has satisfied all the conditions set out in paragraph 1.1.
  2. The details and procedure for the redemption of the Reward will be set out in the Redemption Letter.

5 General Terms and Conditions

  1. Subject to these terms and conditions for the Promotion, the Reward is not transferable, refundable, replaceable, or exchangeable for cash, credit, products, or privileges or other kind in full or in part. UOB reserves the right to replace the Reward with another item of similar value or to amend the value of the Reward, without giving any reason or prior notice or assuming any liability to any person.
  2. Participation in the Promotion is subject to the terms and conditions set out herein. Notwithstanding anything to the contrary, UOB may at its discretion change or add to any of these terms and conditions of the Promotion, including but not limited to changing the Promotion Period, the type and value of the Reward, or withdrawing the Promotion, at any time without giving any reason, prior notice or being liable to any person. UOB’s determination of all matters in connection with the Promotion and Reward shall be final, binding and conclusive. No appeal, correspondence or claim will be entertained. UOB has the sole right and discretion to determine whether a party has met the requirements of the Promotion and/or to receive the Reward.
  3. UOB will not be liable or responsible for any failure or delay in the receipt of the Redemption Letter by the applicable customer, or for any Redemption Letter which has expired or which has been lost, misplaced, tampered with, defaced, stolen, damaged or misdirected or for any failure to redeem or utilise the Reward within the applicable time frames, or for any breakdown or malfunction in any computer system or equipment. No payment or compensation whether in cash, credit or kind shall be made arising from any of the above. Any Redemption Letter which is expired, lost, misplaced, tampered with, defaced, stolen, misdirected or damaged or Reward which is not redeemed or utilised within the applicable time frames is strictly non-replaceable, notwithstanding any non-receipt of any Redemption Letter. UOB shall not be held liable or responsible for any loss, injury, damage, or harm suffered as a result of or in connection with the redemption or usage of the Reward, or arising from or in connection with the Promotion.
  4. UOB assumes no liability or responsibility and will not be liable or responsible for any injury, loss or damage whatsoever or for any charge, cost or expense of any kind whatsoever suffered or incurred in connection with or arising out of the redemption or usage of the Reward or in connection with the Promotion set out herein, howsoever arising. UOB is not an agent or supplier of the product, Reward or services offered as rewards under the Promotion, and is not liable for any claims from any parties in relation thereto, and is not liable or responsible for any defects, the quality, merchantability or the fitness for any purpose or any other aspect of the Reward or any goods or services provided by the merchant or supplier, or the acts or defaults of the manufacturer, merchant, agent, supplier, or service provider of the reward or defects or deficiency in the reward or goods or services offered in the Promotion set out herein. Any dispute about the quality or service standard must be resolved directly with the merchant, supplier, manufacturer or service provider. The merchant, supplier, manufacturer or service provider may impose conditions for redemption or use of the Reward.
  5. All the prevailing terms and conditions governing the Marketplace shall continue to apply, and shall be read together with these terms and conditions for the Promotion set out herein. In the event of any conflict or inconsistency between these terms and conditions for the Promotion, any of the prevailing terms and conditions governing the Marketplace, and any terms set out in any marketing material prepared for the Promotion, the terms and conditions for the Promotion shall prevail only to the extent of the matters relating to this Promotion. While all information provided herein is believed to be correct and reliable at the time of posting or publishing online, UOB makes no representation or warranty whether express or implied, and accepts no responsibility or liability for its completeness or accuracy. 
  6. The Promotion will not be valid with other promotions or offers.
  7. By participating in the Promotion, each customer agrees to be bound by the rules, regulations and decisions of UOB, by the terms and conditions contained herein, and by any other applicable terms and conditions. Failure to comply with any of the foregoing will result in the customer being disqualified from the Promotion.
  8. By participating in the Promotion, each customer is deemed to have consented to the collection, use and disclosure of his/her personal data by UOB, the organiser, sponsors, promoters of the Promotion and/or their respective contractors, for verifying the eligibility of the customer, verifying the identity of the customer at the time of collection of the Reward, conducting the Promotion, announcing and publicising the identity of successful customers (including having such customer’s photograph taken and published), contacting the customer regarding the foregoing, and all other purposes incidental to the Promotion.
  9. Without prejudice to the other terms and conditions of the Promotion, each customer expressly and irrevocably permits and authorises UOB to disclose, reveal and divulge their information and particulars to any person (including without limitation the parties involved in organising, promoting and conducting the Promotion and the redemption and provision of the Reward) as UOB deems fit, in connection with the Promotion.
  10. A person who is not a party to any agreement governed by these terms and conditions shall have no right under the Contracts (Rights of Third Parties) Act (Cap. 53B) to enforce or enjoy the benefit of any term of such agreement
  11. These terms and conditions are governed by the laws of Singapore, and all parties participating in the Promotion agree to submit to the exclusive jurisdiction of the Singapore courts.
  12. Except where the context otherwise requires, words denoting the singular include the plural, and vice versa.
